Tunepact — Affiliate Program Terms

These Affiliate Program Terms ("Terms") govern participation in Tunepact's referral and ambassador program (the "Program"). By enrolling, you agree to these Terms, which supplement and are incorporated into the Tunepact Terms of Use. Affiliates are independent contractors, not employees, agents, or legal partners of Tunepact.
1. Eligibility
- Participants must be at least 18 years old (or the age of majority in their jurisdiction).
- Organizations must be legally registered entities with authority to enter into agreements.
- Tunepact may approve or reject applications at its discretion.
2. Enrollment & Accounts
- To participate, you must complete the Program sign‑up form and provide accurate information, including payment and tax details.
- Each Affiliate is responsible for maintaining account security.
3. Referral Links & Promotion
- Upon acceptance, you will receive a unique referral link or code.
- You may share links through approved channels, provided promotions comply with:
- Tunepact's Community Guidelines and Acceptable Use Policy.
- FTC and similar disclosure rules (you must clearly state you may earn commissions).
- Third‑party platform rules (e.g., no spam).
You may not:
- Use paid ads on Tunepact brand keywords.
- Misrepresent Tunepact's services.
- Use misleading or deceptive practices.
4. Commissions & Payments
- Commission structures (percentage, flat fee, or tiered) will be disclosed in your Program dashboard.
- Commissions are based on successful subscriptions or transactions attributed to your referral link.
- Payments are made via Stripe Connect, PayPal, or another designated processor, subject to their schedules and requirements.
- Tunepact may adjust or withhold commissions in cases of refunds, chargebacks, or suspected fraud.
5. Taxes
- You are solely responsible for reporting and paying any applicable taxes on commissions you receive.
- Tunepact does not withhold, remit, or assume responsibility for taxes on your behalf.
- U.S. participants earning $600 or more annually must submit a valid IRS Form W‑9; Tunepact or its processor may issue a Form 1099‑MISC.
- Non‑U.S. participants must submit a Form W‑8BEN or equivalent to certify foreign status and avoid IRS withholding.
- Tunepact may rely on its payment processor (e.g., Stripe Connect) to collect tax forms and issue reporting forms as required by law.
6. Term & Termination
- Either party may terminate participation at any time upon notice.
- Tunepact may suspend or terminate accounts for violating these Terms, fraud, or harm to Tunepact's brand.
- Upon termination, unpaid commissions may be withheld if linked to fraudulent or invalid activity.
7. Independent Contractor Status
- Affiliates are independent contractors, not employees, agents, or representatives of Tunepact.
- No partnership, joint venture, or employment relationship is created by participation in the Program.
8. Indemnification
You agree to indemnify, defend, and hold harmless Tunepact, its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your participation in the Program; (b) your violation of these Terms; (c) your violation of applicable laws or regulations; or (d) any misrepresentation, infringement, or misuse of third‑party rights in your promotions.
9. Limitation of Liability
- Tunepact is not liable for indirect, incidental, or consequential damages arising from participation in the Program.
- Tunepact's maximum liability is limited to commissions owed during the 6 months preceding the claim.
10. Modifications
- Tunepact may modify or discontinue the Program at any time with notice via email or the Program dashboard.
- Continued participation after changes constitutes acceptance.
